The subjects of the course are two blocks of knowledge assessed in the CFA's exams and are very important for those working in the finance industry: (1) Governance in a corporation and (2) Ethics in Finance. More specifically, the course provides the basic content of the governance process from various perspectives such as ownership structure, board structure and independence, the balance of power between senior executives, investors, creditors, employees, government and other stakeholders (the media, class action lawsuit…), as well as evaluating the effectiveness, roles, and responsibilities of stakeholders in improving the quality of corporate governance oversight. In addition, violating ethical principles in finance can have serious consequences for the company and the financial market. Therefore, the course presents situations or principles related to ethics that most managers face in practice.
