6. Brief Description of Course Content:
In the world, corporate law and especially corporate governance, despite being mentioned for a long time, has only really developed in recent times. In Vietnam, with the growth in the size of enterprises in recent years, there has been a requirement to improve the legal rules for corporate governance. This course is built on the theoretical foundation of corporate law and corporate governance from which to assess Vietnamese law on companies and corporate governance. It helps students gain confidence to analyze and propose appropriate solutions to improve the law on Company and Corporate Governance in Vietnam in the global context. The subject of Company Law and Corporate Governance is structured based on actual law on enterprises in Vietnam, and is structured into four main content sections:
Part 1, General theoretical framework of the company and corporate governance
Part 2, Researching the provisions on the legal nature of the company, shareholders (members) of the company and financial issues in the company are prescribed in Vietnamese enterprise law.
Part 3, Study the regulations on corporate governance, especially the regulations on corporate governance of joint-stock companies with issues related to the organization of the management apparatus, protection of minority shareholders,
Part 4, Research the legal provisions on the establishment, reorganization, dissolution and bankruptcy of the company.
