5. Course Objectives:

This course is designed for master students of the Program of Finance, School of Finance, University of Economics Ho Chi Minh City. This course aims to provide learners with fundamental knowledge related to mergers and acquisitions, both from the perspective of the buyer and seller such as the motivations for M&A activities; M&A strategic planning; the acquisition tactics, the anti takeover measures, and the methods that the company can use when it wants to exit fully or a part of its investments so that they can make the best financial decisions for the business. The course also prepares students for career skills such as synthesis and problem-solving skills; teamwork skills. Therefore, after completing this course, students can apply their knowledge and skills to future job.

6. Brief Description of Course Content:

This course will provide learners with the knowledge of Merging, Acquisitions (M&A) and divestment such as M&A concepts; M&A trends in the world as well as in Vietnam. In addition, this course also provides students with an in-depth understanding of popular M&A strategies, helping them to answer the question of why and when a company will perform M&A; tactics are often applied in an M&A deal with the advantages, disadvantages, applicability of each tactic; business strategies can be used to prevent potential takeovers, especially when hostile acquisitions occur; introduction to valuation in M&A; motives and forms of divestment; forms of business restructuring,  the effect of these forms on the value of the owners; In addition, learners are provided an introduction of laws and policies related to M&A and corporate restructuring.
