This module will provide learners with basic knowledge about mergers, consolidations and acquisitions (M&A) as well as the motivations and forms of corporate restructuring. Students will be provided with the basic concepts of M&A; the history of M&A in the US, Vietnam and M&A trends in the world. In addition, this course also provides students with an understanding of common M&A strategies; help learners answer the questions of why and when a business should carry out an M&A activity; the common tactics the companies use to execute an M&A deal along with the pros and cons, and applicability of each tactic. Learners also have knowledge of the anti-takeover measures to prevent and protect the company from being acquired by another company, especially in the event of a hostile takeover. Learners can also combine the knowledge gained from this course with others to analyze the factors affecting the success or failure of an M&A deal; Forms of corporate restructuring when it wants to narrow down its business, and restructuring methods when facing the risk of bankruptcy, as well as their impact on the shareholder’s value. In addition, learners are also introduced to laws and policies related to corporate restructuring.
