5. Course Objectives:

This course is designed for undergraduate students of the University of Economics Ho Chi Minh City who would like to know about mergers and acquisitions as well as corporate restructuring. Completing the course, students are expected to be able to: ● to distinguish different types of Mergers and Acquisitions (M&A); ● to know M&A history; ● to describe and explain different M&A strategies; takeover tactics; as well as anti-takeover measures; ● to describe and explain different motives and different measures of corporate restructuring.

6. Brief Description of Course Content:

This course will provide learners with the foundations of Merging, Acquisitions (M&A) and corporate restructuring such as basic M&A concepts; M&A history; M&A trends in the world as well as in Vietnam. In addition, this course also provides students with an in-depth understanding of popular M&A strategies, helping them to answer the question of why and when a company will perform M&A; tactics are often applied in an M&A deal with the advantages, disadvantages, applicability of each tactic; business strategies can be used to prevent potential takeovers, especially when hostile acquisitions occur; analysis and valuation in M&A; forms of business restructuring, the effect of these on the value of the owner; In addition, learners are introduced to laws and policies related to corporate restructuring.
