5. Course Objectives:
"Môn học cung cấp kiến thức về các quy định pháp lý liên quan đến doanh nghiệp và hợp tác xã (HTX), từ thành lập, tổ chức, quản lý đến giải thể và phá sản. Sinh viên sẽ đạt được các mục tiêu sau:
Hiểu biết về doanh nghiệp và HTX: Nắm vững quyền, nghĩa vụ của doanh nghiệp, HTX và phân biệt các loại hình doanh nghiệp, HTX trong nền kinh tế.
Phân tích và tư vấn pháp lý: Có khả năng phân tích ưu nhược điểm của các loại hình doanh nghiệp, HTX và tư vấn về các vấn đề pháp lý phát sinh trong quá trình thành lập, tổ chức lại, giải thể và phá sản.
Xử lý tình huống và tranh chấp: Kỹ năng giải quyết xung đột nội bộ và tham gia hòa giải tranh chấp giữa các cổ đông/thành viên.
Thực hiện thủ tục hành chính và khởi nghiệp: Có khả năng thực hiện các thủ tục đăng ký kinh doanh và cấp phép kinh doanh, tự tin khởi nghiệp dưới hình thức doanh nghiệp, HTX.
Tự chủ và trách nhiệm: Rèn luyện tư duy pháp lý, kỹ năng quản lý doanh nghiệp minh bạch, tuân thủ pháp luật và tôn trọng lợi ích chung của tổ chức."
/"This course provides knowledge of the legal provisions related to enterprises and cooperatives, covering aspects from establishment, organization, and management to dissolution and bankruptcy. Upon completing the course, students will achieve the following objectives:
Understanding of enterprises and cooperatives: Students will gain a solid understanding of the rights and obligations of enterprises and cooperatives, as well as the ability to distinguish between different types of enterprises and cooperatives in the economy.
Legal analysis and consultation: Students will be capable of analyzing the strengths and weaknesses of various types of enterprises and cooperatives, and providing legal advice on issues arising during the processes of establishment, reorganization, dissolution, and bankruptcy.
Handling legal situations and disputes: Students will develop the skills to resolve internal conflicts and participate in mediating disputes between shareholders/members.
Administrative procedures and entrepreneurship: Students will be able to carry out business registration and licensing procedures, and confidently start their own business or cooperative.
Autonomy and responsibility: Students will develop legal thinking, management skills, and the ability to run a transparent business, ensuring compliance with the law and respecting the collective interests of the organization."
6. Brief Description of Course Content:
The Enterprise Law subject provides legal knowledge about business subjects such as: concepts and characteristics of enterprises, social enterprises, and basic rights and obligations of enterprises. Students can understand the provisions of the corporate law related to the financial structure, the organizational structure of the governance apparatus of each specific type of business, and the regulations related to the government, enterprise establishment, reorganization, dissolution and bankruptcy.
